Attorney Profile
Jason B. Baim has broad-based commercial and general business litigation experience in state and federal courts, having represented financial institutions, issuers, and directors and officers in securities class actions, corporate governance matters, and other complex business disputes. Mr. Baim has successfully defended a variety of clients ranging from individuals to small companies to large national and international corporations in disputes involving tens to hundreds of millions of dollars.

Mr. Baim has particular experience in defending corporations, boards of directors, and individual officers and directors in securities actions involving claims of fraud and/or breach of fiduciary duty. He has unique experience in defending and counseling officers and directors regarding their fiduciary obligations under Delaware law. For example, Mr. Baim was part of a two-lawyer trial team that successfully tried a nine-week jury trial, achieving a complete defense verdict on behalf of a private equity firm and its officers and directors against an attempted hostile takeover and claims exceeding $20 million for alleged breach of fiduciary duty under Delaware law.

More recently, Mr. Baim was part of a two-lawyer trial team that successfully tried a five-week bench trial on behalf of a large financial institution, as agent for first and second lien lenders, in federal Delaware bankruptcy court involving a complex valuation dispute and business plan manipulation for a company valued in excess of $300 million. Mr. Baim prepared and successfully argued a Daubert motion to exclude the opposing side’s valuation expert, all but ensuring a successful outcome for his clients.

Prior to joining Doll Amir & Eley LLP, Mr. Baim was a litigator for nine years in the Los Angeles office of Milbank, Tweed, Hadley & McCloy. Mr. Baim is a graduate of the University of California, at Los Angeles where he graduated cum laude with a B.A. in History in 1992, and received his J.D. from the University of Southern California in 1995.
